Apheon announced the deal on October 6, 2026. Hager & Meisinger will pursue U.S. growth and selective acquisitions, while its co-CEOs retain meaningful ownership.

Current shareholders and co-CEOs Dr. Burkard Höchst and Sebastian Voss will retain meaningful ownership stakes. They will also remain involved in the company's development, according to Apheon's deal announcement.

A broad portfolio built around precision instruments

Founded in 1888 and headquartered in Neuss, Germany, Hager & Meisinger operates through the Meisinger and Jota brands. Its portfolio contains more than 12,000 product references. The range covers rotary instruments and bone management, along with products for implantology and digital dentistry.

Diamond and carbide products sit alongside procedure-specific solutions developed with clinicians and key opinion leaders. The group manufactures through vertically integrated operations in Germany and Switzerland.

Hager & Meisinger supplies dental practices and oral surgeons in more than 100 countries. Laboratories are also part of its customer base. The company operates the Global Bone Management & Restorative Network, which supports clinical education and knowledge sharing among dental professionals.

That combination gives the transaction a clear industrial focus. Apheon is backing a manufacturer with its own production base and specialist product range, as well as international distribution relationships.

Hager & Meisinger is now part of Apheon's medical and pharmaceutical investment portfolio. Apheon reports approximately €4.5 billion in assets under management and around 250 additional acquisitions since its founding, giving the transaction a broader investment-platform context.

U.S. growth is the immediate priority

With Apheon as a partner, Hager & Meisinger plans to pursue organic growth alongside selective acquisitions. Expansion in the U.S. will be a particular priority. The company also intends to strengthen its international commercial reach and distributor relationships.

Investment will continue in rotary instruments. Hager & Meisinger also plans to expand its bone management business and its implantology business. Apheon said it will support the plans through its pan-European network and buy-and-build capabilities.

"We are proud of what our team has achieved and see significant opportunities to bring our products and expertise to more customers around the world. It was important to us to find a partner that shares our long-term perspective and respects the heritage, commitment to quality and close relationships on which Hager & Meisinger has been built. We believe Apheon is the right partner for the Group's next chapter and look forward to shaping it together.", Dr. Burkard Höchst and Sebastian Voss, Co-CEOs of Hager & Meisinger

Ownership change with continuity at the centre

Apheon's Nils Lüssem and Finn Pilath said the investor was impressed by Hager & Meisinger's two established brands. They also pointed to its engineering and manufacturing expertise.

The executives identified the company's high-precision portfolio as a strength. They also cited its relationships with clinicians and distributors, along with further international growth, particularly in the U.S., as a central opportunity.

The deal is being presented as part of a long-term succession plan. Pava Partners, which advised the sellers, described Apheon's entry as a way to support continued international growth while preserving business continuity. The advisory firm's account frames the partnership as a transition rather than a break with the company's existing direction.

German M&A firm Pava Partners advised the sellers. Apheon Advisors advised Apheon. Orrick provided legal advice to the former majority shareholders.

Börsen-Zeitung also reported the advisory mandates. Its account added detail to the professional-services structure behind the deal.

For dental professionals and laboratories, the practical significance will depend on how the planned expansion affects product availability and distributor coverage. It will also depend on the development of solutions for implantology and bone management. The announcement confirms the strategic direction but provides no details of specific acquisitions or operational changes.

Hager & Meisinger enters the partnership with manufacturing depth and a substantial catalogue. Its products reach more than 100 countries. Apheon's plans center on U.S. expansion and buy-and-build capabilities, while the announcement provides no specific acquisition targets.

As of the announcement, Hager & Meisinger's revenue and EBITDA remained undisclosed. The purchase price and Apheon's precise post-closing ownership percentage also remained undisclosed.
